Terms of Service for Sourcing VIP

1. Acceptance of Terms

By accessing the SourcingVIP website or utilizing our sourcing services, you agree to be bound by these Terms of Service. These terms apply to all visitors, clients, and others who access or use our Service.

2. Scope of Services

SourcingVIP provides intermediary services including, but not limited to, supplier identification, price negotiation, factory audits, and logistics coordination. We act as a facilitator and do not take ownership of the manufactured goods unless expressly stated in a separate Purchase Agreement.

3. Non-Disclosure & Intellectual Property (NDA)

• Client IP: SourcingVIP acknowledges that all product designs, blueprints, and proprietary brand information shared by the Client remain the sole property of the Client. We will not use or disclose this information to any third party except as necessary to fulfill sourcing requests with potential suppliers.

• SourcingVIP IP: Our network of suppliers, internal databases, and specialized sourcing methodologies are the intellectual property of SourcingVIP.

4. Non-Circumvention (Protection for SourcingVIP)

The Client agrees not to contact, deal with, or bypass SourcingVIP to engage in business directly with any supplier or factory introduced by SourcingVIP for a period of 24 months following the introduction, without prior written consent and compensation agreement with SourcingVIP.

5. Payment & Fees

• Service Fees: Fees for sourcing, audits, or inspections are due according to the schedule outlined in your specific Service Quote.

• Factory Payments: SourcingVIP is not liable for financial disputes between the Client and the Factory, although we will provide mediation support where possible.

6. Quality Control & Liability Disclaimer

While SourcingVIP performs due diligence and factory vetting:

• We do not guarantee the perfection of every manufactured unit.

• Our liability is limited to the value of the service fee paid for the specific inspection or audit in question.

• We are not responsible for delays caused by shipping carriers, customs inspections, or "Force Majeure" events (natural disasters, strikes, or government lockdowns).

7. Termination of Service

Either party may terminate the business relationship with 30 days written notice. Any outstanding fees for work already performed by SourcingVIP will remain due and payable upon termination.

8. Governing Law

These terms shall be governed by the laws of Jurisdiction Hong Kong, without regard to its conflict of law provisions.
